Terms and conditions of sale
1. Purpose of the GTCS
These general terms and conditions (GTC) govern the relationship between TIPM Sàrl, a Swiss consulting firm specializing in intellectual property strategy, and its customers (companies and individuals) in the context of its support and training services.
2. Ordering and acceptance of terms and conditions
All orders placed with TIPM imply full acceptance of these terms and conditions. The General Terms and Conditions can be consulted on our website or sent to you on request.
3. Pricing and payment terms
The prices of services are indicated in specific estimates for each service and may vary according to the complexity and duration of the intervention. Invoices must be paid within the deadlines specified thereon. No discount or rebate will be applied for early payment. In the event of late payment, penalties of 5% of the total amount due may be applied, in accordance with current legislation.
4. TIPM’s commitments and liability
TIPM undertakes to provide quality services adapted to the specific needs of its customers. TIPM may subcontract certain services to trusted partners after informing the customer. TIPM’s liability is limited to the amounts actually paid for the service concerned, except in the case of gross negligence or intent.
5. Customer obligations
Customers undertake to provide all the information required for the proper performance of the services. TIPM cannot be held responsible for any omission or incorrect information that may hinder the performance of the services.
6. Intellectual property
All content, tools, training and reports provided as part of the services are the exclusive property of TIPM. The customer has a strictly personal and non-transferable right of use. Any reproduction, modification or distribution without the written consent of TIPM is strictly prohibited.
7. Privacy
TIPM undertakes to respect the confidentiality of all information provided by the customer. The customer is also required to maintain the confidentiality of any confidential information received from TIPM in the course of the services. This obligation of confidentiality remains in force for two years after the end of the service.
8. Referencing
The customer authorizes TIPM to use its name, logo and/or brand as a reference on its website and in its communication tools (presentations, brochures, social networks, etc.), solely to illustrate the trust placed in TIPM by its customers. However, the nature and content of the services provided remain confidential.
9. Applicable law and jurisdiction
These GTC are governed by Swiss law. Any dispute shall be submitted to the exclusive jurisdiction of the courts of the Canton of Geneva, Switzerland, after a prior attempt at amicable settlement.
